Acceptance of Terms

By accessing or using TradeTrack ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. If you are using TradeTrack on behalf of a company, contractor, or other entity, you represent that you have authority to bind that entity to these Terms.

Description of Service

TradeTrack is a cloud-based construction project management platform providing project scheduling, crew management and time tracking, estimating, purchase orders, document building, job cost tracking, subcontractor management, client portal tools, daily logs, and related features. Some features may be available only on certain plans, in certain environments, or as limited-release functionality.

User Accounts

To use the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Promptly notify us of any unauthorized use of your account
  • Accept responsibility for all activities under your account
  • Ensure that people invited into your workspace are authorized to access the information you share with them

Subscription and Billing

TradeTrack offers subscription-based products and plan tiers, including Project Scheduler and Crew Scheduler offerings, with different features, limits, and billing terms.

  • Subscription fees are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • We may change subscription prices with 30 days' notice
  • Failure to pay may result in suspension or termination of your account
  • You may upgrade, downgrade, or cancel your subscription at any time
  • Downgrades take effect at the end of the current billing period
  • Existing subscribers on annual plans will not have a changed rate applied until their renewal date unless otherwise required by law or separately agreed in writing

Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on the rights of others
  • Transmit malicious code or interfere with the Service
  • Attempt to gain unauthorized access to our systems
  • Use the Service for any illegal or unauthorized purpose
  • Share your account credentials with unauthorized users
  • Enter false or misleading information about crew members, clients, subcontractors, projects, or costs
  • Misrepresent project data to clients or subcontractors through the portal or shared documents
  • Circumvent access controls or attempt to access data outside your assigned scope

Crew Member Data

Workspace owners who use TradeTrack to manage crew members are responsible for informing their crew members about data collected through the platform, including clock-in and clock-out records, time-entry history, and GPS location data where geofencing is enabled. As between TradeTrack and the workspace owner, the workspace owner is responsible for compliance with applicable employment, labor, and privacy laws relating to their crew.

Geofencing

If a workspace owner enables geofencing, crew members who clock in or clock out through TradeTrack may have their GPS location recorded. Workspace owners are responsible for determining whether geofencing is appropriate for their operations and for providing any required disclosures or notices under applicable location-tracking laws.

Client Portal

Workspace owners may share project information with clients and other third parties through tokenized portal links. Workspace owners are responsible for ensuring that portal access is shared only with authorized recipients and that the information made available through the portal complies with their confidentiality, contractual, and legal obligations.

Subcontractor Access

TradeTrack may provide linked subcontractors with scoped access limited to assigned projects or shared workflows. Workspace owners control what information is shared with linked subcontractors and are responsible for managing those permissions appropriately.

Document Acknowledgement

TradeTrack provides tools to create and share project documents including proposals, contracts, subcontractor agreements, and change orders. Recipients may be asked to acknowledge, approve, or reject documents through a secure portal link. TradeTrack records and timestamps these actions but does not provide legally certified electronic signature services. The enforceability of document acknowledgements made through TradeTrack depends on applicable law and the specific circumstances of each document. Users relying on such acknowledgements for legal purposes do so at their own discretion and should consult qualified legal counsel.

Your Data

You retain ownership of the data you submit to the Service. By using TradeTrack, you grant us a limited license to host, store, transmit, and process that data solely as needed to provide and improve the Service, secure the platform, and meet legal obligations. Intellectual Property

The Service, including its original content, features, and functionality, is owned by TradeTrack and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our express written permission.

Limitation of Liability

To the maximum extent permitted by law, TradeTrack shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, business interruption, data loss, or loss of business opportunities arising from your use of or inability to use the Service. Our total liability for any claim arising out of or relating to the Service will not exceed the amount you paid us in the twelve months preceding the event giving rise to the claim.

Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, error-free, or suitable for every legal, accounting, payroll, or contracting workflow in your jurisdiction.

Termination

We may suspend or terminate your access to the Service if you violate these Terms, create risk to the platform or other users, fail to pay applicable fees, or use the Service in a manner we reasonably believe is unlawful or abusive. You may stop using the Service at any time, subject to any remaining billing commitments for your active subscription term.

Governing Law

These Terms shall be governed by and construed in accordance with the laws applicable in the United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be brought in a court of competent jurisdiction in the United States, unless otherwise required by applicable law.

Changes to Terms

We may modify these Terms from time to time. When we do, we will post the updated version on this page and revise the last updated date. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance of those changes.
